1. About these terms

These Terms of Service (the 'Terms') govern your access to and use of the Fhenix Swag Shop (the 'Shop'), operated by FHE Labs LTD ('Fhenix', 'we', 'us' or 'our'), a company incorporated in Israel, with its registered address at Yigal Alon 82 St. Tel-Aviv 6789124. By connecting a wallet, browsing, earning or redeeming Credits, or placing an order, you agree to these Terms. If you do not agree, do not use the Shop.

These Terms include the Acceptable Use Policy (Annex A) and the Shipping & Returns Policy (Annex B), and incorporate by reference our Privacy Policy and the Sweepstakes / Credits Program Official Rules, each available at https://fheswagshop.fhenix.io/

2. Eligibility

You must be at least 18 years old to use the Shop, earn or redeem Credits, or place an order. You will be asked to confirm you are 18 or older at checkout.

You must not be located in, a resident of, or ordering from a country or region subject to comprehensive economic sanctions, and must not be a person with whom we are prohibited from dealing under applicable sanctions laws.

You are responsible for the blockchain wallet you connect and for all activity conducted through it.

3. Definitions

'Credits' means the promotional credits earned through free participation in FHEPlay games, redeemable in the Shop as described in the Sweepstakes / Credits Program Official Rules.

'Merch' means the physical merchandise offered in the Shop.

'USDC' means the USD Coin stablecoin used to settle the payable balance of an order.

'Wallet' means the self-custodial blockchain wallet you connect via our authentication provider (Privy).

4. Accounts and wallet connection

Access is via wallet connection through Privy; there is no separate password. You are responsible for maintaining control of your Wallet and its credentials. We are not responsible for losses arising from unauthorized use of, or loss of access to, your Wallet.

5. Credits

Credits are earned only through free participation in eligible FHEPlay games. No purchase, stake, deposit, or token spend is required to earn Credits. Credits are governed by the Sweepstakes / Credits Program Official Rules.

Credits have no cash value, are non-transferable, cannot be exchanged for cash, and may expire as set out in the Official Rules.

Credits convert to a USDC-equivalent discount at checkout at a conversion rate we set and may change. The rate applied to a given order is the rate in effect at the time the order is placed. Each item may have a configurable minimum and maximum number of Credits a person may redeem against it.

We may modify, suspend, or discontinue the Credits program, or adjust the conversion rate, at any time, without affecting orders already placed.

6. Orders, pricing and payment

Prices and Credit costs are computed and verified by our servers. Any price or Credit value displayed in your browser is indicative; the server-computed amount governs.

After applying eligible Credits, you pay any remaining balance in USDC from your connected Wallet. An order is confirmed only after on-chain verification of your payment.

Blockchain payments are generally irreversible. Each on-chain payment can be applied to exactly one order. You are responsible for paying the correct amount to the correct address.

Prices exclude taxes, customs duties, and import fees unless stated. You are responsible for any such charges (see Annex B).

7. Shipping and returns

Delivery, cancellation, and returns are governed by the Shipping & Returns Policy at Annex B, which forms part of these Terms.

8. Sanctions and export compliance

You represent and warrant that you are not located in, or a resident of, a comprehensively sanctioned jurisdiction, and are not on any applicable restricted-party or sanctions list.

We screen connecting wallet addresses against sanctions lists and use geolocation to restrict access from sanctioned jurisdictions. We may block, delay, cancel, or refuse any order, and withhold delivery, to comply with sanctions and export-control laws.

9. Acceptable use

You agree to use the Shop only as permitted by these Terms and the Acceptable Use Policy at Annex A. We may void Credits, cancel orders, and suspend or terminate access for conduct that violates those rules, including attempts to manipulate prices, Credits, or eligibility.

10. Intellectual property

The Shop, its content, and the Merch designs are owned by or licensed to Fhenix and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive licence to access and use the Shop for its intended purpose.

You may not copy, resell, or create derivative works from Shop content or Merch designs except as expressly permitted.

11. Disclaimers

The Shop and Merch are provided on an 'as is' and 'as available' basis to the fullest extent permitted by law. We do not warrant that the Shop will be uninterrupted or error-free. You acknowledge the inherent risks of blockchain technology and digital assets, including price volatility and the irreversible, public, and immutable nature of on-chain transactions.

12. Limitation of liability

To the fullest extent permitted by applicable law, Fhenix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost value of digital assets. Our aggregate liability arising out of or relating to the Shop will not exceed the total amount you paid to us for the order giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Fhenix and its affiliates, officers, and employees from claims and expenses arising out of your breach of these Terms or your misuse of the Shop.

14. Suspension and termination

We may suspend or terminate your access to the Shop at any time if you breach these Terms, or as required for legal or compliance reasons. Provisions that by their nature should survive termination will survive.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be posted with a revised effective date. Your continued use of the Shop after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. The competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have in your country of residence.

17. General

If any provision is found unenforceable, the remaining provisions remain in effect.

You may not assign these Terms without our consent; we may assign them to an affiliate or successor.

These Terms, together with their annexes and the documents they incorporate, are the entire agreement between you and us regarding the Shop.

We are not liable for failure or delay caused by events beyond our reasonable control (force majeure).

Annex A

Acceptable Use Policy

This annex forms part of the Terms of Service.

A1. Scope

This Acceptable Use Policy applies to everyone who uses the Fhenix Swag Shop, including earning and redeeming Credits. It forms part of the Terms of Service. FHE Labs LTD may enforce it at its discretion.

A2. Prohibited conduct

You must not:

• Tamper with, or attempt to alter, cart contents, prices, or Credit costs, or otherwise manipulate values that our servers compute.
• Falsify, inflate, or misrepresent your Credits balance, or claim Credits you did not earn through legitimate, free participation.
• Attempt to redeem the same Credits more than once, or apply one payment to more than one order.
• Use another person's wallet, or act on behalf of someone else without authority, to earn or spend Credits or place orders.
• Create or use multiple accounts or wallets to farm Credits, evade limits, or otherwise abuse the program.
• Exploit bugs, vulnerabilities, or unintended behavior to obtain Credits, discounts, or Merch you are not entitled to; report such issues to us instead.
• Use bots, scrapers, or other automated means to access the Shop, except as expressly permitted.
• Circumvent or attempt to circumvent sanctions screening or geographic restrictions, including by using a VPN, proxy, or false location to place an order from a restricted jurisdiction.
• Engage in fraud, money laundering, or any unlawful activity through the Shop.
• Infringe our or others' intellectual-property rights, or resell Merch or Shop content without authorization.

A3. Enforcement

If we reasonably believe you have breached this Policy, we may take any of the following actions, with or without notice, to the extent permitted by law:

• Void or reverse affected Credits.
• Cancel or refuse orders, and withhold delivery.
• Suspend or permanently terminate your access to the Shop.
• Retain records of the conduct and report it to authorities where required.

A4. Reporting abuse or vulnerabilities

Report suspected abuse or security issues to security@fhenix.io. We appreciate responsible disclosure and will not penalize good-faith reports.

Annex B

Shipping & Returns Policy

This annex forms part of the Terms of Service.

B1. Where we ship

We ship the Fhenix Swag Shop merchandise worldwide, except to jurisdictions we are prohibited from serving under sanctions and export-control laws, or that we otherwise exclude. Orders that cannot be shipped for compliance reasons will be cancelled and any USDC paid for them refunded.

B2. Processing and delivery times

Orders are processed after payment is verified on-chain. Typical processing time is 3-4 business days.

Estimated delivery times vary by destination: 10-25 days. These are estimates, not guarantees.

B3. Shipping costs

Shipping costs, if any, are shown at checkout before you pay.

B4. Customs, duties, and taxes

For international orders, import duties, taxes, and customs fees may be charged by the destination country. Unless stated otherwise at checkout, these are the recipient's responsibility and are not included in the item price or shipping cost.

B5. Order tracking

You can view order history and tracking for your connected wallet in the Shop. Where available, a tracking number will be provided once your order ships.

B6. Damaged, defective, or incorrect items

If your item arrives damaged, defective, or incorrect, contact us at support@fhenix.io within [14] days of delivery with your order details and photos.

We will arrange a replacement or a refund of the affected item, including any Credits redeemed against it and any USDC paid for it.

B7. Right of cancellation (EU/UK and similar)

If you are a consumer in the EU, UK, or another jurisdiction granting a cooling-off right, you may cancel eligible orders within 14 days of receiving the goods, without giving a reason, and return them in their original condition.

This right may not apply to goods that are personalized or custom-made to your specification. Confirm the scope of this exemption with counsel before relying on it for customized merchandise.

To cancel, contact support@fhenix.io. On a valid cancellation, we refund the USDC you paid and restore any Credits you redeemed, subject to return of the goods where required. Any and all return costs are the Consumer's responsibility unless explicitly stated otherwise by Fhenix.

B8. Refunds

Approved refunds are made in USDC to the wallet used for the order, in the USDC amount originally paid; we are not responsible for changes in the market value of USDC or gas/network fees.

Credits redeemed on a cancelled or refunded order are credited back to your Credits balance, subject to any expiry that applied.

Because blockchain payments are irreversible, refunds are processed as new transactions, not reversals of the original payment.

B9. Lost or undelivered orders

If an order is lost in transit or not delivered within a reasonable time, contact support@fhenix.io and we will investigate and, where appropriate, resend or refund.
